TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Magicbag (magicbag.app), operated by Magic AI LLC ("Magic AI," "we," or "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. THE SERVICE

Magicbag is an Amazon Attribution and creator commerce platform. It allows Amazon sellers and brands ("Sellers") to create Amazon Attribution tracking campaigns and assign them to content creators and affiliates ("Creators") to track purchase conversions and manage commissions. The Service integrates with the Amazon Ads API pursuant to Amazon's Developer Agreement.

2. ELIGIBILITY

You must be at least 18 years old and legally able to enter contracts in your jurisdiction to use the Service. By using Magicbag, you represent that you meet these requirements. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. ACCOUNTS

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use at support@magicbag.app. We reserve the right to suspend or terminate accounts that violate these Terms.

4. AMAZON API COMPLIANCE

The Service relies on the Amazon Ads API (Attribution). By connecting your Amazon account or using Amazon Attribution links generated through Magicbag, you agree to comply with:

• The Amazon Ads API Developer Agreement and usage policies.
• Amazon's Associates Program Operating Agreement (if applicable).
• Amazon's Brand Registry and intellectual property policies.
• All applicable Amazon Seller Central and Vendor Central terms.

You are solely responsible for ensuring your use of Amazon Attribution data and links complies with Amazon's terms. Magic AI is not liable for any account suspension or action taken by Amazon against your seller or advertising account.

5. SELLER RESPONSIBILITIES

As a Seller using Magicbag, you agree to:

• Only connect Amazon accounts you own or are authorized to manage.
• Honor commission terms you establish with Creators through the platform in a timely manner.
• Not use the Service to misrepresent product performance or deceive Creators.
• Comply with all applicable advertising disclosure and FTC guidelines.

6. CREATOR RESPONSIBILITIES

As a Creator using Magicbag, you agree to:

• Clearly disclose your material relationship with brands as required by FTC guidelines and applicable law (e.g., #ad, #sponsored).
• Only use tracking links for the products and campaigns you are assigned.
• Not manipulate clicks, conversions, or attribution data.

7. PROHIBITED CONDUCT

You may not:

• Attempt to reverse engineer, scrape, or abuse the Service or its APIs.
• Violate any applicable law or regulation.
• Transmit malware, spam, or harmful code.
• Impersonate another user or provide false information.
• Use the Service to facilitate fraud, click inflation, or deceptive advertising.

8. INTELLECTUAL PROPERTY

Magicbag and its original content, features, and functionality are owned by Magic AI LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of your own content. By uploading or providing content to the Service, you grant Magic AI a limited license to use it solely to operate and provide the Service.

9. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ATTRIBUTION DATA WILL BE 100% ACCURATE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIC AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO MAGIC AI IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Magic AI LLC, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

12. TERMINATION

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. You may terminate your account by emailing support@magicbag.app.

13. GOVERNING LAW

These Terms shall be governed by the laws of the United States and the state in which Magic AI LLC is incorporated, without regard to conflict of law provisions.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the effective date. Continued use of the Service after changes take effect constitutes acceptance.
